Welcome to Unprofitable Traders Club ("UTC", "we", "us"). UTC is operated by Unprofitable Traders Club. These Terms of Use ("Terms") govern your access to and use of our website and application at unprofitabletradersclub.com (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. What the Service is

UTC is a journaling and tracking tool for prop-firm traders. It helps you record your funded and evaluation accounts, log trades, and monitor your progress against prop-firm rules (such as consistency, drawdown and payout requirements). It also provides a comparison of publicly known prop-firm plans for informational purposes.

2. Not financial advice

The Service is an informational and organizational tool only. Nothing in the Service is investment, financial, tax or legal advice, a recommendation, or a solicitation to trade. Trading futures and other instruments involves substantial risk of loss. You are solely responsible for your own trading decisions and outcomes.

3. Not affiliated with prop firms

UTC is independent and is not affiliated with, endorsed by, or sponsored by any prop firm referenced in the Service. Firm names, plans and rules are referenced for comparison and tracking only and may change at any time. Always confirm the current rules directly with the firm. We do not guarantee the accuracy, completeness or timeliness of any firm data shown.

4. Eligibility and your account

You must be at least 18 years old to use the Service. You are responsible for keeping your login credentials secure and for all activity under your account. Notify us promptly of any unauthorized use. The data you enter (accounts, trades, notes) is yours; you are responsible for its accuracy.

5. Acceptable use

• Don't misuse the Service, attempt to break or probe its security, or disrupt other users.
• Don't scrape, resell, or attempt to reverse-engineer the Service.
• Don't upload unlawful content or impersonate others.
• Don't use the Service to violate the rules of any prop firm or any applicable law.

6. Subscriptions, billing and our payment reseller

Some features require a paid subscription. Our order process and payments are managed by our Merchant of Record, Paddle.com Market Limited and its affiliates ("Paddle"), who act as the authorized reseller of our products. When you buy a paid plan, the purchase is completed through Paddle; Paddle's Buyer Terms and privacy policy also apply to that transaction, and the charge may appear on your statement as "Paddle" or "Paddle.net".

Subscriptions renew automatically each billing period until cancelled. You can cancel at any time and your subscription will remain active until the end of the current paid period and will not renew thereafter. Refunds are governed by our Refund Policy.

7. Intellectual property

The Service, including its design, branding, and software, is owned by UTC and protected by applicable laws. We grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose. You retain ownership of the trading data you enter.

8. Disclaimers and limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind. We do not warrant that it will be uninterrupted, error-free, or that any calculation or rule representation is accurate. To the maximum extent permitted by law, UTC will not be liable for any indirect, incidental, or consequential damages, or for any trading losses, breached accounts, missed payouts, or lost profits arising from your use of the Service.

9. Changes

We may update these Terms from time to time. Material changes will be reflected by updating the date above. Continued use of the Service after changes means you accept the updated Terms.

10. Governing law

These Terms are governed by the laws of the Netherlands, without prejudice to any mandatory consumer-protection rights you may have in your country of residence. Nothing in these Terms limits your statutory rights as a consumer.
